SNZweig Terms of Service
Last updated: September 1, 2026
Overview
This website is operated by SNZweig. Throughout the site, the terms “we”, “us” and “our” refer to SNZweig. SNZweig offers this website, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
SNZweig is the brand name under which SNZweig Advisors LLC and Stambaugh Ness LLC provide professional services. SNZweig Advisors LLC and Stambaugh Ness LLC (and their respective subsidiary entities) operate as an alternative practice structure in accordance with the AICPA Code of Professional Conduct and applicable law, regulations, and professional standards. SNZweig Advisors LLC and its subsidiary entities are not licensed CPA firms, and do not hold themselves out as CPA firms, and provide tax and business consulting services to their clients. Stambaugh Ness LLC is a licensed independent CPA firm, which holds a license or permit to practice public accounting in the States of Pennsylvania, New York, California, Georgia, Maryland, Oregon, North Carolina, South Carolina, Arkansas, and Mississippi that provides attest services to its clients. Stambaugh Ness LLC maintains its independence with respect to its attest engagements in accordance with applicable professional standards, and the alternative practice structure and common brand do not alter or diminish that obligation. Nothing on this site should be read to suggest that any entity other than Stambaugh Ness LLC provides, or is authorized to provide, attest or other services that may lawfully be performed only by a licensed CPA firm.
References in these Terms of Service to “SNZweig”, “we”, “us” and “our” are to SNZweig Advisors LLC, Stambaugh Ness LLC, and their respective subsidiary entities, as applicable to the service being provided.
By visiting our website, purchasing something from us, or engaging us to perform any services, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, clients, merchants, and/or contributors of content.
Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features, services or tools which are added to the current website shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website. All changes are effective when posted and apply on a prospective basis only to your access to and use of the website after the changes are posted; changes to the dispute resolution provisions in Section 26 will not apply to any dispute for which the parties had actual notice on or before the date the change is posted. For material changes, we will use reasonable efforts to provide notice and, where appropriate, will require you to affirmatively accept the revised Terms of Service before continuing to use the website. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
Portions of this site — including online store, payment, client portal, document upload, electronic signature, and online learning functionality — are hosted, provided, or processed by third-party service providers, including but not limited to Shopify, Docebo, Sharefile, Aiwyn, and TaxCaddy. Those providers supply the platforms that allow us to offer these features and to sell our products and services to you. Your use of any such feature may also be subject to the applicable provider’s own terms of service and privacy policy.
1. Online Store Terms
By agreeing to these Terms of Service, you represent and warrant that you are at least 18 years of age and that you reside or conduct business in the United States or one of its territories or possessions. This site is intended for business users and is not directed to children. If you do not meet these requirements, you must not access or use the site.
You may not use our products or services for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not transmit any viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.
2. General Conditions
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
3. Accuracy, Completeness, and Timeliness of Information
We are not responsible if information made available on this website is not accurate, complete or current. The material on this website is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this website is at your own risk.
The content of this website does not constitute accounting, tax, audit, attest, legal, investment, or other professional advice, and is not a substitute for professional advice from a qualified advisor who has considered your specific facts and circumstances. Publications, articles, research, benchmarking data, webinars, tools, calculators, and similar resources made available through this website are general in nature and may not reflect current law, regulations, or professional standards. No professional or client relationship is created by your access to or use of this website, by your download or purchase of any product, or by any communication you send to us through this website. See Section 21 for how professional service engagements are established.
This website may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this website at any time, but we have no obligation to update any information on our website. You agree that it is your responsibility to monitor changes to our website.
4. Modifications to the Service and Prices
Prices for our products and services are subject to change without notice.
We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
5. Products or Services (as applicable)
Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
Attest services, including audits, reviews, and other attestation engagements, are not offered or sold through this site. Attest services are provided solely by Stambaugh Ness LLC pursuant to a separate written engagement letter.
6. Accuracy of Billing and Account Information
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
For more detail, please review our Return Policy.
7. Third-Platforms, Services, and Tools
We may provide you with access to third-party platforms, services, tools, etc. (“Tools”) over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such Tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of such Tools.
Any use by you of such Tools offered through the website is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which Tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including the release of new Tools and resources). Such new features and/or services shall also be subject to these Terms of Service.
8. Third-Party Links
Certain content, products and services available via our Service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.
We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s terms, policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products must be directed to the third-party.
9. User Comments, Feedback, and Other Submissions
If, at our request, you send certain specific submissions (for example, award entries) or without a request from us you send creative ideas, suggestions, proposals, plans, content or other materials, whether online, by email, by postal mail, or otherwise (collectively, “comments”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.
We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.
Please do not send us confidential, proprietary, or sensitive information through this site or by unsecured email. Information submitted through this site is not treated as confidential and does not create a professional or client relationship.
10. Personal Information
Your submission of personal information through the website is governed by our Privacy Policy. To view our Privacy Policy, www.snzweig.com/privacy-policy.
11. Errors, Inaccuracies, and Omissions
Occasionally there may be information on our website or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product or service descriptions, pricing, promotions, offers, product shipping charges, transit times, availability, etc. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your request or order).
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website should be taken to indicate that all information in the Service or on any related website has been modified or updated.
12. Prohibited Uses
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the website or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.
13. Disclaimer of Warranties; Limitation of Liability
We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.
We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
You agree that from time to time we may remove the Service for indefinite periods of time or cancel the service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and services delivered to you through the Service are (except as expressly stated by us) provided “as is” and “as available” for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall SNZweig Advisors LLC, Stambaugh Ness LLC, their respective subsidiary entities, or any of their directors, officers, employees, members, partners, affiliates, agents, contractors, vendors, interns, suppliers, service providers or licensors (“personnel”) be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products or services procured using the Service, or for any other claim related in any way to your use of the Service or any product or services, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product or services) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL CUMULATIVE LIABILITY OF SNZWEIG ADVISORS LLC, STAMBAUGH NESS LLC, THEIR RESPECTIVE SUBSIDIARY ENTITIES, AND THEIR RESPECTIVE PERSONNEL, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, THE SERVICE, OR ANY PRODUCTS OR SERVICES PURCHASED OR OBTAINED THROUGH THE WEBSITE (REGARDLESS OF THE FORM OF ACTION) WILL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT YOU PAID TO THE APPLICABLE ENTITY THROUGH THE WEBSITE IN CONNECTION WITH THE PRODUCTS OR SERVICES GIVING RISE TO THE LIABILITY. This cap does not apply to liability resulting from gross negligence or willful misconduct, and it does not limit or apply to professional services provided under a separate engagement letter, which are governed by that engagement letter and applicable professional standards.
14. Indemnification
You agree to indemnify, defend and hold harmless SNZweig Advisors LLC, Stambaugh Ness LLC, and their respective parent, subsidiaries, affiliates, partners, members, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
15. Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service; such determination shall not affect the validity and enforceability of any other remaining provisions.
16. Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
17. Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service and any terms of service previously posted by Zweig Group LLC or Stambaugh Ness LLC). These Terms of Service do not supersede or modify any written engagement letter or master services agreement governing professional services, as described in Section 21.
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
18. Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Pennsylvania without regard to its conflict of law provisions.
Subject to Section 26 (Dispute Resolution; Arbitration; Class Action and Jury Trial Waivers), any suit, action, or proceeding arising out of or relating to these Terms of Service or the website that is not subject to arbitration shall be instituted exclusively in the state or federal courts located in Pennsylvania, and you waive any objection to the jurisdiction and venue of those courts.
19. Changes to the Terms of Service
You can review the most current version of the Terms of Service at any time at this page.
We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
20. Contact Information
Questions about the Terms of Service should be sent to us at info@snzweig.com.
21. Professional Services and Client Engagements
These Terms of Service govern your use of this website and any products or services purchased or obtained through it via the Services. They do not govern professional services.
Professional services are provided only pursuant to a separate written engagement letter or master services agreement executed by the client and the applicable entity. The terms of that engagement letter or agreement — including its scope, fees, limitations of liability, confidentiality provisions, and dispute resolution provisions — control with respect to those services and prevail over these Terms of Service in the event of any conflict.
Consistent with the alternative practice structure described above, attest services are provided solely by Stambaugh Ness LLC, a licensed independent CPA firm. Tax and business consulting services are provided by SNZweig Advisors LLC and its subsidiary entities, which are not licensed CPA firms. Nothing on this site should be read to indicate that any entity other than Stambaugh Ness LLC provides attest services.
No engagement is created, and no professional or client relationship is formed, by your use of this site, your registration for or attendance at an event, your purchase of a publication or research product, or your submission of an inquiry or contact form.
22. Client Portals and Document Upload
The website may provide secure client portals and document upload functionality that allow you to exchange documents and information with SNZweig Advisors LLC or Stambaugh Ness LLC in connection with services you have engaged or are requesting. Access to a portal may be conditioned on your entering into an engagement letter with the applicable entity. You are responsible for the accuracy and completeness of, and for retaining your own copies of, all documents and information you upload or submit, and you represent that you are authorized to provide them. Use of a portal or upload feature is provided for convenience and, unless the applicable entity agrees otherwise in writing, does not by itself satisfy any deadline, filing, notice, or delivery requirement and does not create or expand any professional or client relationship beyond what is set out in an applicable engagement letter. You are responsible for safeguarding your account credentials and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.
23. Electronic Communications, Electronic Signatures, and Consent to Electronic Records
By using the website, creating an account, requesting or engaging products or services, or electronically signing an engagement letter or other document through the website, you consent to conduct business electronically with the applicable entity and to receive communications, agreements, disclosures, notices, and other records (“Records”) in electronic form. You agree that your electronic signature (including clicking to accept, sign, or submit) has the same legal effect as a handwritten signature and that electronically signed engagement letters and other agreements are valid, binding, and enforceable.
You have the right to receive Records in paper form. You may request a paper copy of any Record at no charge, and you may withdraw your consent to receive Records electronically, by contacting us at info@snzweig.com; however, withdrawing consent or requesting paper delivery may delay services or, where electronic delivery is required for a particular service, may result in termination of that service. To access and retain electronic Records, you will need a current web browser, internet access, an email account, and the ability to view and save PDF and other files. You agree to keep your contact information current so that we can deliver electronic Records to you.
24. Online Payments and Third-Party Service Providers
The site may allow you to make payments online. Payments, and certain portal, document upload, electronic signature, learning, and subscription functionality, may be provided or processed by third-party service providers. When you make a payment, you authorize the applicable entity and its payment processor to charge the payment method you provide for the amounts you authorize, and you agree to provide current, complete, and accurate payment information. Your use of any third-party service is subject to that provider’s own terms of service and privacy policy, and you are responsible for reviewing and complying with them. We do not control, and are not responsible or liable for, the acts, omissions, products, services, security, or content of any third-party service provider. Fees for professional services are governed by your engagement letter with the applicable entity.
25. Copyright Infringement (DMCA)
We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”). If you believe that content on the website infringes your copyright, you may submit a written notice to the designated copyright agent of the applicable entity identified below. Your notice must substantially include: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification of the material claimed to be infringing and information reasonably sufficient to locate it; your contact information; a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; a statement that the information in the notice is accurate; and a statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
Because SNZweig Advisors LLC and Stambaugh Ness LLC are separate legal entities, each designates its own copyright agent to receive DMCA notices relating to content it controls: (a) SNZweig Advisors LLC — Alyson Fieldman, 220 St. Charles Way, Suite 150, York, PA 17402, 800.745.8233, info@snzweig.com; and (b) Stambaugh Ness LLC — Kevin Kline, 220 St. Charles Way, Suite 150, York, PA 17402, 800.745.8233, info@snzweig.com. It is the policy of each entity, in appropriate circumstances, to disable or terminate the accounts of users who are repeat infringers. If you knowingly materially misrepresent that material is infringing, you may be liable for damages, including costs and attorneys’ fees, under Section 512(f) of the DMCA.
26. Dispute Resolution; Arbitration; Class Action and Jury Trial Waivers
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Any dispute, claim, or controversy arising out of or relating to these Terms of Service or your access to or use of the website (a “Dispute”) shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules or applicable rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. This agreement to arbitrate is governed by the Federal Arbitration Act and evidences a transaction involving interstate commerce. The arbitration will be conducted before a single arbitrator, will take place in York, Pennsylvania (or by videoconference or telephone where available), and will apply the law of the State of Pennsylvania. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction. Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction in aid of arbitration or to protect intellectual property or confidential information.
Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND YOU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. If this Class Action Waiver is finally determined to be unenforceable as to a particular Dispute, that Dispute (and only that Dispute) shall be severed from arbitration and brought in the courts identified in Section 18, while all other Disputes remain subject to arbitration.
Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND YOU EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE THAT IS FOR ANY REASON HEARD IN COURT RATHER THAN IN ARBITRATION.
